Fondazione Tech e Biomedical is an Italian private nonprofit foundation that invests in technology transfer and biomedical research and industrial development under the oversight of the Ministry of Enterprises and Made in Italy and the Ministry of Health. It is the same institution historically called Fondazione ENEA Tech e Biomedical, renamed under article 1 of law 18 December 2025 n 190, not the ENEA national research agency. ENEA is separately identified as the founder in the official statute. Its current July 2026 statute was approved by ministerial decree signed July 16,2026. The foundation retains fiscal code 96469190589 and VAT 15959181007 and operates from Via Po 12,00198 Rome. The 2020 legal framework and 2021 statute approvals are distinguished from an independently proven incorporation day. Its mandates support Italian innovative SMEs and startups in green and circular technologies, IT, agritech and deeptech, and strengthen biomedical research, industrial conversion, advanced medicines, diagnostics and medical devices. It may invest directly or jointly with institutional and private investors and supports research-to-industry translation, production capacity and technology sovereignty. Actual AI and neuroscience portfolio relationships include AI diagnostics, cognitive robotics, neurorehabilitation, neurodevelopmental therapeutics, nerve regeneration and adaptive deep-brain stimulation; underlying commercial approvals and clinical outcomes require issuer and regulator evidence. It administers the ministry’s Fondo per il Trasferimento Tecnologico and Fondo per la ricerca e lo sviluppo industriale biomedico under statutory and ministerial arrangements. These are public programme mandates rather than newly closed external LP venture funds. The original 2020 technology-transfer decree describes a EUR 500 million government budget envelope; that authorization is not an assertion that the foundation received or deployed all funds, nor a 2026 cash fundraising event. No ministry appropriation, target, aggregate commitment or programme capacity is converted into a completed fund close, and no duplicate budget vehicle or ENEA-agency investor is created. Current own governance lists president Cinzia Marchese, appointed inJuly 2026, with governing-board members Matteo Bassetti, Francesca Raimondi and Stefano Massari. The division-head directory supplies six named operating leaders and dated appointments. Governance, auditors, operating staff and the historical predecessor are separately qualified; an undated July president appointment is not assigned an invented exact day. Its primary portfolio directory names Restorative Neurotechnologies, BionIT Labs, Tethis, IAMA Therapeutics, KlisBio, Newronika, VR Media, VST, Cellply, Oversonic and other biomedical or technology investments. These establish named institutional portfolio relationships, while exact financing stage, ticket, fund allocation and cash closing require transaction evidence. Restorative’s issuer financing records are maintained separately with source-confirmed foundation participation. Portfolio claims of clinical success, CE approval or product effectiveness are not automatically adopted as independently verified regulatory findings. The original issuer-distributed announcement dated November 6, 2024 confirms that the foundation, under its then ENEA Tech e Biomedical name, co-led Restorative Neurotechnologies’ completed EUR 3 million Series A. Its individual ticket and exact programme allocation are unpublished and remain NULL. Newronika transaction qualification: the foundation's own primary announcement identifies EUR 5 million of foundation investment within Newronika's EUR 13.6 million Series B announced by the issuer on February 13,2025. This is the named institutional commitment, not an assertion of full cash disbursement or an additional separate company financing. The foundation's recipient disclosure identifies Newronika S.p.A., VAT06399770962, and a board seat conditional on a second tranche. Its acquisition and authorization dates have conflicting chronology, so neither the PDF upload path nor its table is used to invent a cash-payment day. Historical statements by Maria Cristina Porta describe her position at the announcement; the current 2026 leadership above remains authoritative. The existing legally continuous foundation investor is used; no separate ENEA agency or newly created manager is implied. Newronika's issuer records are maintained separately.
